Acceptance of terms

These Terms & Conditions (“Terms”) govern your access to and use of tecsolus.com (the “Site”) operated by TecSolus LLC, a Wyoming limited liability company (“TecSolus”, “we”, “us”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Our services

TecSolus provides IT services including SaaS and software development, APIs and integrations, IT management, cloud services, data security, analytics and research, IT strategy and planning, and SEO and optimization. Specific engagements are governed by a separate written agreement, proposal or statement of work (“Service Agreement”). If a Service Agreement conflicts with these Terms, the Service Agreement controls.

Use of the site

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to the Site, its servers or related systems;
• Interfere with the Site’s operation, including by introducing malware or overloading it;
• Scrape, copy or republish Site content without our written permission.

Intellectual property

The Site and its content, including text, graphics, logos and design, are owned by TecSolus or its licensors and are protected by intellectual property laws. Third-party names and logos shown on the Site belong to their respective owners and are used for identification only. Ownership of deliverables created for clients is set out in the applicable Service Agreement.

Quotes, payments & deliverables

Quotes and estimates are valid for 30 days unless stated otherwise. Fees, payment schedules, acceptance criteria and timelines for each project are defined in the Service Agreement. Late payments may result in suspension of work as described in that agreement.

Confidentiality

We treat information you share with us about your business and projects as confidential and use it only to evaluate or perform the requested services, subject to any non-disclosure agreement between us.

Third-party links

The Site may link to third-party websites, including projects we have built. We are not responsible for the content, policies or practices of third-party sites, and visiting them is at your own risk.

Disclaimers

The Site is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Content on the Site is for general information and does not constitute professional advice for your specific situation.

Limitation of liability

To the fullest extent permitted by law, TecSolus will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill, arising from your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred US dollars (US$100). Liability for services is governed by the Service Agreement.

Indemnification

You agree to indemnify and hold harmless TecSolus and its members, employees and contractors from any claims, damages or expenses arising from your misuse of the Site or violation of these Terms.

Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. Any dispute will be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to their jurisdiction.

Changes to these terms

We may update these Terms from time to time. Changes take effect when posted on this page, and the “Last updated” date will change accordingly. Continued use of the Site after changes means you accept the updated Terms.
